030385 KU Drafting and Negotiating Cross-border M & A and Joint Venture Contracts (2021W)

Aims: The course will provide students with a basic overview of M&A and Joint Venture transactions. In addition, the course will highlight drafting points. The goal is to provide students with basic core knowledge to prepare themselves for working on M&A and Joint Venture transactions as a corporate lawyer at a law firm or company.

Contents: Basics of M&A and Joint Venture agreements, structure and analysis of M&A Joint Venture agreements, in-depth analysis of key contractual provisions, proper drafting of contractual provisions.

Method: The course will consist of Online sessions of each 90 minutes. Students will receive a Webex invitation shortly before the first session. The course is practice-oriented in that a specific M&A contract and Joint Venture agreement will be analyzed. The course also is interactive in that questions for each topic are provided to be discussed in the subsequent session.
