    Aims, contents and method of the course

    In this course, the individual aspects of the reorganization of companies (merger, transformation, demerger, contribution, real division) as well as their aspects under company law, civil and corporate law, tax law and non-tax law (labor law, trade law) and legal consequences are discussed both theoretically and on the basis of practical cases.

    At the end of this course, students should have a sound knowledge of the facts of reorganization and its consequences and be able to apply this knowledge in practice.

    The material will be discussed by means of a lecture by the course instructor, including practice-related questions and cases. . Active participation of the students in the course is desired.

    Assessment and permitted materials

    The performance assessment is based on oral participation ( 4 points) and two written exams in German (18 points each) at the end of the course. From 21 points the course is positively completed. The use of unannotated editions of laws and non-electronic dictionaries is allowed in the exam ( Post-Its: only unlabeled allowed - neither numbers nor headings; different colors, sizes are allowed).     Minimum requirements and assessment criteria

    In principle, attendance is compulsory throughout. Students may be released from compulsory attendance for a total of one unit for good cause. In the 1st unit, attendance is compulsory without exception. Students who do not show up will be deregistered from the course, unless there is an important provable reason for their absence
    The assessment is based on oral participation 4 points) as well as two written exams (18 points each, duration of each exam: 45 minutes) in German at the end of the course. From 21 points the course is positively completed. Grade key: from 21 points - sufficient, from 26 points - satisfactory, from 31 points - good, from 36 points - very good
