Aims, contents and method of the course
The course provides an overview of the relevant transaction documents, in particular letter of intent, share purchase agreement, syndicate agreement and financing agreements. Using sample examples, students are introduced to contract drafting in a practice-relevant manner. Tax aspects, which play a decisive role in many M&A transactions, are presented as well as aspects of antitrust law and takeover law. The course is intended as a practice-related basis for further in-depth study of transaction business and contract drafting in M&A transactions. Special emphasis will be placed on the special topic of banking M&A.The one-hour in-depth course gives an overview of the contract drafting of an M&A transaction with a main focus on banking M&A. In addition, the following points will be covered: Purchase price structuring (earn-out clauses), option rights; basic principles of reorganisation tax law; private equity vs debt financing; special features of listed companies; squeeze-out and cash compensation; special issues regarding real estate law, distressed M&A.
Assessment and permitted materials
The assessment is based on cooperation (4 points) and two written examinations (18 points each, duration of each examination: 45 minutes) in German at the end of the course. From 21 points the course is positively completed. Grade key: from 21 points - sufficient, from 26 points - satisfactory, from 31 points - good, from 36 points - very good.
If the course cannot be held in attendance due to the current Covid-19 situation, cooperation is usually demonstrated by working independently on parts of the script provided or on distributed case studies. A detailed overview will be given to the students in the first unit.

In principle, attendance is compulsory throughout the (online) units. Students can be released from compulsory attendance for a total of one unit for an important reason. Attendance is compulsory in the 1st unit without exception.
